Terms of Service

These terms govern your access to and use of the EQUIP platform and website (the “Service”), provided by [Company legal name] (“EQUIP”, “we”, “us”). By signing up, or by using the Service, you (the “Customer”) agree to these terms. If you are agreeing on behalf of a business, you confirm you have authority to bind it.

1. The Service

EQUIP provides a cloud-based operations platform for contractors — covering enquiries, quotes, jobs, scheduling, stock and fleet, people and compliance, timesheets, invoicing and reporting. We may improve or change features over time; we will not materially reduce the core functionality of a paid plan during your term without notice.

2. Accounts & security

You are responsible for your account, for keeping login credentials secure, and for activity under your users’ accounts. Two-factor authentication is required. Tell us promptly of any suspected unauthorised access.

3. Acceptable use

You agree not to misuse the Service, including: breaking the law; infringing others’ rights; uploading malware; attempting to breach security or access data you’re not entitled to; reselling or copying the Service; or overloading the infrastructure. We may suspend access to protect the Service or other customers, and will restore it once resolved.

4. Your data & ownership

As between us, you own all data you put into the Service (“Customer Data”). You grant us the limited rights needed to host and operate the Service for you. We process personal data within Customer Data as your processor, in line with our Privacy Policy and data processing terms. You are responsible for having the right to provide the Customer Data and for its accuracy.

5. Fees & payment

Paid plans are billed at the prices agreed at sign-up (per office user, per month, exclusive of VAT), monthly or annually as selected. Fees are payable in advance and are non-refundable except where required by law. We may change prices on renewal with reasonable notice. Late payment may lead to suspension.

6. Trials & onboarding

Where we offer a trial or assisted onboarding, it is provided as described at the time and may be changed or withdrawn. Trials are provided “as is” without warranty.

7. Intellectual property

The Service, and all software, design and content we provide (excluding Customer Data), are owned by EQUIP or our licensors. These terms grant you a non-exclusive, non-transferable right to use the Service during your term; no other rights are granted.

8. Confidentiality

Each party will protect the other’s confidential information and use it only to perform under these terms.

9. Availability & warranties

We aim to keep the Service available and will use reasonable skill and care. Except as expressly stated, the Service is provided “as is” and we disclaim all other warranties to the fullest extent permitted by law. We are not liable for downtime caused by factors outside our reasonable control, or by third-party providers.

10. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or data; and our total liability in any 12-month period is limited to the fees you paid for the Service in that period.

11. Term & termination

These terms apply for as long as you use the Service. Either party may terminate for material breach not remedied within 30 days of notice. On termination you may export your Customer Data for a limited period, after which we may delete it in line with our Privacy Policy.

12. Changes to these terms

We may update these terms from time to time; we will give notice of material changes, and continued use after they take effect means you accept them.

13. Governing law

These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
